  • Number of Transaction Shares: The aggregate Number of Shares for all Components.

  • Counterparty owns (as such term is used in Rule 16c-4 under the Exchange Act) a number of Shares (including the Shares pledged to JPMorgan pursuant to Section 3 hereof), after subtracting the number of Shares to which any put equivalent positions (as defined in Rule 16a-1(h) under the Exchange Act) have been established or are maintained by Counterparty (other than any put equivalent position established as a result of such Transaction), at least equal to the Number of Transaction Shares.

  • As of the Amendment Effective Date, as a result of the increase to the Number of Transaction Shares pursuant to this Amendment (the “ Share Upsize”), the Collateral shall also be increased by a number of Collateral Shares equal to such Share Upsize, which shall be deemed to have been deposited to the Collateral Account on the Amendment Effective Date and immediately Rehypothecated by Dealer.

  • If Dealer (or any of its affiliates) does not finish establishing Dealer’s Initial Hedge Positions in respect of such Transaction by the close of regular trading session on the Exchange on the Cutoff Date, Dealer shall notify Counterparty in the Trade Notification that the Number of Transaction Shares shall be reduced to such number as the number of Shares for which Dealer (or any of its affiliates) has established its Initial Hedge Position in respect of such Transaction.

  • If JPMorgan (or any of its affiliates) does not finish establishing JPMorgan’s Initial Hedge Positions in respect of such Transaction by the close of regular trading session on the Exchange on the Cutoff Date, JPMorgan shall notify Counterparty in the Trade Notification that the Number of Transaction Shares shall be reduced to such number as the number of Shares for which JPMorgan (or any of its affiliates) has established its Initial Hedge Position in respect of such Transaction.

  • If such Transaction has an Initial Hedging Period, on or promptly after the Hedge Completion Date, if the Number of Transaction Shares as specified in the related Trade Notification is less than the Initial Pledged Securities, the Collateral Agent or Dealer shall release to Counterparty the excess (if any) of (x) the Initial Pledged Securities held by the Collateral Agent or Dealer as Collateral hereunder over (y) the Number of Transaction Shares as specified in the related Trade Notification.

  • On or prior to the Trade Date of such Transaction, Counterparty shall deliver to the Custodian in pledge hereunder Eligible Collateral consisting of a number of Shares equal to the Number of Transaction Shares for such Transaction (the “ Initial Pledged Securities”).

Related to Number of Transaction Shares

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Spin-Off Transaction means a distribution by the Company to its shareholders of all or any portion of the securities of any Subsidiary of the Company.

  • Lock-Up Shares has the meaning set forth in Section 4.1.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Subco Shares means the common shares in the capital of Subco;

  • Date of Transfer means the date of registration of transfer of the Property into the name of the Purchaser in the Deeds Registry in Pietermaritzburg;

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Earnout Shares has the meaning set forth in Section 3.6(a).

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Earn-Out Shares has the meaning provided in Section 2.2(b).

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Target Shares means common shares in the capital of Target, as currently constituted;

  • Purchaser Shares means the common shares in the capital of the Purchaser.
