Parent Shares definition

Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

• No certificates or scrip representing fractional Parent Shares shall be issued upon the surrender for exchange of Certificates or Book-Entry Shares evidencing Company Common Stock, and such fractional share interests will not entitle the owner thereof to vote or to any rights of a shareholder of Parent.
