Consideration Shares definition

Consideration Shares shall have the meaning set forth in Section 2.7(c).

Consideration Shares means the Purchaser Shares to be issued as the Consideration pursuant to the Arrangement.

• In consideration for the Sale Shares, the Company shall allot and issue such number of new fully paid-up Consideration Shares at the Issue Price to the Vendors, fractional entitlements to be disregarded, in the proportions or manner set out in the SPA (which are determined pursuant to their respective shareholding proportions of Sale Shares).

• If Parent reasonably believes that any Person who would otherwise receive Consideration Shares is not an accredited investor as defined in Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, Parent may elect to pay amounts due to such Person in solely in cash.

• Parent shall use commercially reasonable efforts to cause the Consideration Registration Statement to be automatically effective upon filing, or if automatic effectiveness is not available, to be declared effective by the SEC as soon as practicable and use its commercially reasonable efforts to assist the persons receiving Consideration Shares in allowing sales of such Consideration Shares to occur pursuant to the Consideration Registration Statement.

• The Company will be convening an EGM to seek the approval of its shareholders for the Proposed FH Acquisition and the allotment and issue of the FH Consideration Shares.

• Parent shall cause the Consideration Registration Statement to remain available for use until one (1) year after the date of issuance of the Consideration Shares to which the Consideration Registration Statement relates.
