All real estate and tangible personal property constituting or intended to constitute Collateral for the Loan (to the extent of its present construction or existence) complies in all material respects with all Legal Requirements including, without limitation, Environmental Legal Requirements, and the provisions of all Licenses and Permits, except where non-compliance would not be reasonably expected to have a Material Adverse Change on Borrower.
All Licenses and Permits which are reasonably required in order to use, operate, occupy and lease the Property, have been duly and properly obtained and to the Borrower’s knowledge, are in full force and effect.

If Licensee has a LAC that specifies a number of Developer Licenses, then up to that number of Members may use the Software for Development.
