Examples of Co-Issuer in a sentence
The Company, the Co-Issuer and the Guarantors, jointly and severally, shall reimburse the Trustee promptly upon request for all reasonable disbursements, advances and expenses incurred or made by it in addition to the compensation for its services.
The Company, the Co-Issuer and the Guarantors, jointly and severally, shall pay to the Trustee from time to time such compensation for its acceptance of this Indenture and the other Notes Documents and services hereunder and thereunder as the parties shall agree in writing from time to time.
Except as otherwise permitted under this Indenture, the Co-Issuer shall be a wholly owned Restricted Subsidiary of the Company at all times.
If any Holder or the Trustee is required by any court or otherwise to return to the Company, the Co-Issuer, the Guarantors or any custodian, trustee, liquidator or other similar official acting in relation to either the Company, the Co-Issuer or the Guarantors, any amount paid either to the Trustee or such Holder, this Note Guarantee, to the extent theretofore discharged, shall be reinstated in full force and effect.
The Co-Issuer (and any of its successors or assigns that is a co-issuer of the Notes) may not hold any assets, become liable for any obligations or engage in any business activities; provided, that it may be a co-obligor or guarantor with respect to the Notes, the Existing Notes or any other Indebtedness issued by the Company, and may engage in any activities related thereto or necessary in connection therewith.
