Transferred Individuals definition

Transferred Individuals means Transferred Employees and Former Defense Employees.
Transferred Individuals means (i) any present or former employee of any Transferred Group Entity, but shall exclude any former employee of any Transferred Group Entity who is currently employed by the Company or any Subsidiary or retired while an employee of the Company or any Subsidiary, and (ii) any present or former employee of any entity or business relating to the Centralia coal mine or the Centralia steam electric generating plant or any of the businesses related thereto that was disposed of by the Company or any of its Subsidiaries, including such individuals’ beneficiaries, but shall exclude any such employee who is currently employed by the Company or any Subsidiary or retired while an employee of the Company or any Subsidiary from a business other than a business relating to the Centralia coal mine or the Centralia steam electric generating plant or any of the businesses related thereto that was disposed of by the Company or any of its Subsidiaries. The individuals described in clause (ii) shall be identified by reasonable efforts on the basis of employment and benefit records reasonably available to the Company.
Transferred Individuals has the meaning given to such term in the Employee Benefits Agreement.

Examples of Transferred Individuals in a sentence

  • Effective as of any date before the Distribution Date, a member of the Spinco Group not described in the preceding sentence may, at its request and with the consent of NSI (which consent shall not be unreasonably withheld), become a Participating Company in any or all of the NSI Plans in which Transferred Individuals participate.

Related to Transferred Individuals

  • Key Individuals means the Service Provider Representatives identified as being key individuals for the provision of the Services as set out in Schedule 5.5.

  • Debarred Individual is an individual who has been debarred by the FDA pursuant to 21 U.S.C. §335a (a) or (b) from providing services in any capacity to a person that has an approved or pending drug or biological product application.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Disabled individual means a person older than 13 years of age who by reason of age or physical or mental disease, defect, or injury is substantially unable to protect the person's self from harm or to provide food, shelter, or medical care for the person's self.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Designated Employees means a person occupying any of the following position in the Company:

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Designated Individual has the meaning set forth in Section 10.3.A hereof.

  • Aggrieved individual means a student, the parents or guardians of a student under the age of 18 acting on behalf of a student, an employee of the district, or member of the public who is directly affected by and/or is witness to an alleged violation of Board policies prohibiting unlawful discrimination or harassment.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Historically disadvantaged individuals (HDIs means all South African citizens –

  • registered individual means an individual who is registered

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.
