Registered Intellectual Property definition

Registered Intellectual Property means any Intellectual Property in respect of which ownership, title, security interests, charges or encumbrances are registered, recorded or noted with any Governmental Authority pursuant to Law.

Registered Intellectual Property means any patent, registered trademark or servicemark, registered copyright, or any pending application for any of the foregoing.

Registered Intellectual Property has the meaning specified in Section 4.11(a).

Examples of Registered Intellectual Property in a sentence

• All items of Company Registered Intellectual Property are subsisting, and, to the Knowledge of the Company, are valid and enforceable.

• Except as set forth in Section 3.14(a) of the Company Disclosure Letter, there are no actions that must be taken within 120 calendar days after the Closing Date, including the payment of any registration, maintenance or renewal fees or the filing of any documents, applications or articles, for the purposes of maintaining, perfecting, preserving or renewing any Company Registered Intellectual Property.

• The Company Entities have taken all actions reasonably necessary to maintain and protect all of the Registered Intellectual Property held by them, including payment of applicable maintenance fees and filing of applicable required filings as and when required with the appropriate Governmental Authority.

More Definitions of Registered Intellectual Property

Registered Intellectual Property means all applications, registrations and filings for Intellectual Property Rights that have been registered, filed, certified or otherwise perfected or recorded with or by any state, government or other public or quasi-public legal authority anywhere in the world, including the United States Patent and Trademark Office or United States Copyright Office, including issued Patents and Patent applications, registered Trademarks and Trademark applications, registered Copyrights and Copyright applications, and domain name registrations and applications.

Registered Intellectual Property has the meaning set forth in Section 3.13(a).

Registered Intellectual Property means all United States, international and foreign: (a) registered trademarks, trade names, service marks, applications to register trademarks, trade names and service marks, intent-to-use and use-based applications to register trademarks, trade names and service marks; (b) registered copyrights and applications for copyright registration; and (c) patents and patent applications (including provisional applications).

Registered Intellectual Property means Intellectual Property that is issued, registered, renewed or the subject of a pending application.

Registered Intellectual Property means all United States, international and foreign: (i) patents and patent applications (including provisional applications); (ii) registered trademarks, applications to register trademarks, intent-to-use applications, or other registrations or applications related to trademarks; (iii) registered copyrights and applications for copyright registration; and (iv) any other Intellectual Property that is the subject of an application, certificate, filing, registration or other document issued, filed with, or recorded by any state, government or other public legal authority.

Registered Intellectual Property means U.S. and foreign (i) patents and pending patent applications, (ii) trademark registrations (including Internet domain registrations) and pending trademark applications, and (iii) copyright registrations and pending copyright applications.

Registered Intellectual Property means any patent, registered trademark or servicemark, registered copyright, registered mask work, or any pending application for any of the foregoing.
