Nothing in the Transaction Agreements shall prohibit Buyer from making an election pursuant to Section 6226(a) of the Code (or any corresponding elections under state and local Law) with respect to a Tax Contest of any Acquired Partnership that relates to a Pre-Closing Tax Period or a Straddle Period.
