Parent Guarantee means the guarantee of payment of the Securities by the Parent Guarantor pursuant to the terms of this Indenture.

Parent Guarantee means a guarantee given by a Related Body Corporate of the Access Holder who has an Acceptable Credit Rating in substantially the same form set out in the Access Undertaking; Passenger Priority means reasonable priority and certainty of access for rail passenger services delivered in accordance with clause 3.8;

Parent Guarantee means the Note Guarantee of Parent.

The Parent Guarantor further agrees that its Parent Guarantee constitutes a guarantee of payment, performance and compliance when due (and not a guarantee of collection) and waives any right to require that any resort be had by any Holder, the Trustee or the Collateral Agent to any security held for payment of the Guaranteed Obligations.
The failure to endorse the Parent Guarantee provided for herein on any Security shall not affect or impair the validity thereof.
