The tenant will pay $20 per square foot for the first year of the lease commencing on the New Premises Commencement Date.
Notwithstanding anything to the contrary set forth in the Lease, prior to the New Premises Commencement Date, Tenant shall continue to pay Base Rent for the Original Premises in accordance with the terms of the Lease, pro-rated for any fractional month prior to the New Premises Commencement Date at a daily rate equal to 1/365 of the annual Base Rent for the Original Premises.
Notwithstanding anything to the contrary set forth in the Lease, prior to the New Premises Commencement Date Tenant shall continue to pay Tenant’s Share of Building Direct Expenses in connection with the Original Premises in accordance with the terms of Article 4 of the Lease.
The Term for the New Premises is hereby extended through 11:59 p.m. on: (i) if the New Premises Commencement Date is the first day of a calendar month, the day immediately prior to the 91-month anniversary of the New Premises Commencement Date; or (ii) if the New Premises Commencement Date is not the first day of a calendar month, the last day of the calendar month containing the 91-month anniversary of the New Premises Commencement Date.
Landlord has agreed to give Tenant occupancy of the New Premises ten (10) days prior to Substantial Completion of the New Tenant Improvements so that Tenant may install its furniture, fixtures and equipment and perform its data and equipment cabling prior to the New Premises Commencement Date.
From and after the New Premises Commencement Date (as hereinafter defined), the term “Premises,” as used in the Lease, shall mean the Existing Premises and the New Premises, collectively, unless otherwise expressly specified.
If the Amendment Effective Date occurs, foravoidance of doubt, subject to Section 7(f), Tenant shall continue to pay all items of Fixed Rent and Additional Rent as set forth in theOriginal Amended Lease for all periods of the continuing Lease Term, beginning on the New Premises Commencement Date and ending on the New Premises Expiration Date.
As of the New Premises Commencement Date, the following additional definitions and terms shall be amended or added, as applicable, in Section 1.1 of the Lease: (e) “Area of the Premises” means, for the purposes of this Lease, (1) until the New Premises Commencement Date, approximately 25,261 RSF, and (2) after the New Premises Commencement Date, approximately 41,848 RSF, which represents the sum of 25,261 RSF in respect of the Existing Premises, plus 16,587 RSF in respect of the New Premises.
Following the New Premises Commencement Date, Landlord agrees to perform Landlord’s Additional Work and any Punch List Items, at Landlord’s sole cost and expense.
For the period commencing on the New Premises Commencement Date and ending on the New Expiration Date, Tenant shall pay Base Rent, Tenant’s Expense Share of Operating Expenses and Tenant’s Tax Share of Taxes applicable to the New Premises in accordance with the terms of the Lease.
