Global Registered Security definition

Global Registered Security means a Security in global certificate form; "holder" has, in respect of:

Global Registered Security has the meaning set forth in Section 2.1.

Global Registered Security means, in respect of each Series, the registered certificate substantially in the form set out in Schedule 1 (Form of Global Registered Security (other than Global Registered Security held under the NSS) of the Master Trust Terms or, as the case may be, in the form set out in Schedule 2 (Form of Global Registered Security (Global Registered Security held under the NSS) of the Master Trust Terms representing the ETC Securities of one or more Tranches of such Series.

• Unless otherwise specified as contemplated by Section 3.01 for the Securities evidenced thereby, every Global Registered Security authenticated and delivered hereunder shall bear a legend in substantially the following form: THIS SECURITY IS A GLOBAL REGISTERED SECURITY WITHIN THE MEANING OF THE INDENTURE HEREINAFTER REFERRED TO AND IS REGISTERED IN THE NAME OF A DEPOSITARY OR A NOMINEE THEREOF.

• Securities registered under the Securities Act, shall be issued initially in the form of one or more permanent global Securities in definitive, fully registered form without interest coupons with the Global Securities Legend set forth in Section 2.2 hereof (each, a "Global Registered Security"), which shall be duly executed by the Company and authenticated by the Trustee as hereinafter provided.

• Except as provided in Section 308, transfers of a Global Registered Security shall be limited to transfers of such Global Registered Security in whole, but not in part, to the Depositary, its successors or their respective nominees.

• If the Specified Securities are not represented by a Global Registered Security, they are registered in the name of the Undersigned, as or on behalf of the Owner.

• The provisions of Clauses (1), (2), (3) and (4) below shall apply only to Global Registered Securities: (1) Each Global Registered Security authenticated under this Indenture shall be registered in the name of the Depositary designated for such Global Registered Security or a nominee thereof and delivered to such Depositary or a nominee thereof or custodian therefor, and each such Global Registered Security shall constitute a single Security for all purposes of this Indenture.

• Unless otherwise specified as contemplated by Section 301 for the Securities evidenced thereby, every Global Registered Security authenticated and delivered hereunder shall bear a legend in substantially the following form: THIS SECURITY IS A GLOBAL SECURITY WITHIN THE MEANING OF THE INDENTURE HEREINAFTER REFERRED TO AND IS REGISTERED IN THE NAME OF A DEPOSITARY OR A NOMINEE THEREOF.

• If the owner of a beneficial interest in the Regulation S Global Security wishes at any time to transfer such interest to a Person who wishes to acquire the same in the form of a beneficial interest in the Restricted Global Registered Security, such transfer may be effected only in accordance with this Clause (b) (ii) and subject to the procedures of the Depositary.

• The Company may at any time and in its sole discretion determine that the Debt Securities of any Series issued or issuable in the form of one or more Global Registered Securities shall no longer be represented by such Global Registered Security or Securities.

• Notwithstanding any other provision of this Indenture or the Securities, transfers and exchanges of Securities and beneficial interests in a Global Registered Security of the kinds specified in this Section 3.5(b) shall be made only in accordance with this Section 3.5(b).

• Such conversion right shall commence on March 23, 1997 and expire at the close of business on December 15, 2001 subject, in the case of the conversion of any Global Registered Security, to any applicable book-entry procedures of the Depositary therefor and the following sentence.

More Definitions of Global Registered Security

Global Registered Security means a Registered Security in global form substantially in the form (subject to completion and amendment and as supplemented or varied in accordance with the relevant Pricing Supplement) set out in Part III of Schedule 1 (Form of Global Registered Security).

Global Registered Security means a Registered Security, evidencing all or part of a series of Securities, issued to the Book-Entry Depository for such series.

Global Registered Security means a Registered Security that evidences all or part of the Securities of any series and bears the legends set forth in Section 205 (or such legend as may be specified as contemplated by Section 301 for such Securities).

Global Registered Security means any Registered Security issued in the form set forth in Section 2.2(b) and registered in the Security Register in the name of a Depositary or a nominee thereof.

Global Registered Security means, unless otherwise specified by the Company pursuant to either Section 2.02 or 2.16, with respect to any Series of Debt Securities issued hereunder, a Registered Debt Security which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or a custodian therefor, or pursuant to the Depositary's instruction, all in accordance with this Indenture and an indenture supplemental hereto, or a Board Resolution, which shall be registered in the name of the Depositary or its nominee and which shall represent, and shall be denominated in an amount equal to the aggregate Principal amount of all the outstanding Debt Securities of such Series or any portion thereof, in either case having the same terms, including, without limitation, the same original issue date, date or dates on which Principal and interest, if any, are due, and, if interest shall be payable thereon, interest rate or method of determining such interest. The term "global form" or "definitive global registered form" when used in this Indenture shall include Global Registered Securities.
