Facility Guarantee definition

Facility Guarantee means any Guarantee of the Obligations executed by Holdings and its Subsidiaries (other than any Excluded Subsidiary) which are or hereafter become Facility Guarantors in favor of the Agents and the other Secured Parties and reasonably satisfactory in form and substance to the Administrative Agent.

Facility Guarantee means any Guarantee of the Obligations executed by BCF Holdings and its Restricted Subsidiaries which are or hereafter become Facility Guarantors in favor of the Agents and the other Secured Parties.

Facility Guarantee has the meaning specified in Section 1(b) of the Guarantee Agreement.

Examples of Facility Guarantee in a sentence

• MIGA may invest the amounts received from Drawdowns made by Participants pending their commitment to backstop Facility Guarantee Contracts in accordance with its policies for the investment of trust funds.

• After the Facility has been fully implemented or terminated in accordance with Section 9.03 of this Agreement in accordance with the Framework Agreement and all outstanding Facility Guarantee Contracts expire, each Participant’s Drawdown Statement will be finally adjusted in accordance with Section 5.02.

• Without prejudice to their rights and obligations under this Agreement or under the applicable Financing Agreements, the Participants acknowledge the understandings between MIGA and ADB relating to certain co-insurance arrangements to supplement Facility Guarantee Contracts which are included in an Agreement on Co-operation on Co-insurance Arrangements in relation to the Afghanistan Investment Guarantee Facility between MIGA and ADB.

• This Drawdown must be equal to the lesser of (i) the Participant’s Remaining Contribution; or (ii) the Participant’s allocable share of the aggregate amount required to backstop a Facility Guarantee Contract by applying the Pro-Rata Formula.

• When issuing a withdrawal notice under sub-section (a), above, MIGA will also provide each Participant with any relevant documents and other satisfactory evidence, including Host Country Approvals, for Facility Guarantee Contracts with respect to which a Drawdown is requested.

More Definitions of Facility Guarantee

Facility Guarantee means the Guarantee made by the Guarantors pursuant to Article XI.

Facility Guarantee means each Guaranty executed by any Facility Guarantor in favor of the Agents, the Issuing Bank and the Lenders.

Facility Guarantee means the Guaranty executed by the Facility Guarantors in favor of the Collateral Agent for the benefit of the Agents, the Issuing Banks and the Lenders.

Facility Guarantee means, collectively (a) the Guarantee of the Obligations pursuant to that certain Guaranty Agreement, dated as of the Closing Date, by each Facility Guarantor party thereto on the Closing Date in favor of the Administrative Agent, for the benefit of the Secured Parties and (b) any other Guarantee of the Obligations executed by the Facility Guarantors in favor of the Administrative Agent and the other Secured Parties pursuant to SECTION 5.11.

Facility Guarantee means, collectively, (a) the Guarantees, dated as of the Closing Date, executed by the Borrowers and the Facility Guarantors in favor of the Administrative Agent, the Collateral Agent, the Lenders, the Swingline Lender, and the Issuing Bank, and (b) each other Guarantee made by a Borrower or a Guarantor from time to time in favor of the Agents and the Lenders, in form reasonably satisfactory to the Agents, each as amended and in effect from time to time.

Facility Guarantee. The Amended and Restated Guaranty executed by the Facility Guarantors in favor of the Agent, the Issuer and the Revolving Credit Lenders.
