Employee Benefits Plans definition

Employee Benefits Plans shall have the meaning set forth in Section 3.24(a).
Employee Benefits Plans is comprised of, and limited to the following: CHOICES health, dental, disability, FRP, HMO, DHMO, Life Insurance, AD&D, prescription, vision, adoption assistance, personal lines of insurance, survivor support programs and long term care.
Employee Benefits Plans means all "employee benefit plans" as defined in Section 3(3) of ERISA, which are maintained or contributed to by the Subsidiary or any predecessor for Employees or in which the Subsidiary or any predecessor participates or participated and which are listed and identified as such on SCHEDULE 4.13(b).

  • Except for those agreements or plans referenced herein (including without limitation any Employee Benefits Plans in which the Executive is a participant in as of the Effective Date), this Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereof.

Employee Benefits Plans means all employee benefit plans as defined by Section 3(3) of ERISA, all specified fringe benefit plans as defined in Section 6039D of the Internal Revenue Code of 1986, as amended (the “Code”), and all other bonus, incentive compensation, deferred compensation, profit-sharing, stock option, stock appreciation right, stock bonus, stock purchase, employee stock ownership, savings, severance, change-in-control, supplemental unemployment, layoff, salary continuation, retirement, pension, health, life insurance, disability, accident, group insurance, fringe benefit or welfare plan, and any other employee compensation or benefit plan, agreement, policy, practice, commitment, contract or understanding (whether qualified or nonqualified, currently effective or terminated, written or unwritten) and any trust, escrow or other agreement related thereto that (i) is maintained or contributed to by Seller or any other corporation or trade or business controlled by, controlling or under common control with Seller (within the meaning of Section 414 of the Code or Section 4001(a)(14) or 4001(b) of ERISA) (“ERISA Affiliate”) or has been maintained or contributed to in the last six (6) years by Seller or any ERISA Affiliate, or with respect to which Seller or any ERISA Affiliate has or may have any liability.
Employee Benefits Plans means each employee benefit plan (as defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended) or material fringe benefit plan maintained or contributed to or required to be contributed to by the Seller or any of its Affiliates, with respect to any present or former employee of the Business.

"Excluded Assets": as defined in Section 2.2 hereof. "Excluded Liabilities": as defined in Section 2.3 hereof. "Financial Statements": as defined in Section 4.1.2 (a) hereof.
Employee Benefits Plans means, collectively, an employee benefit plan as defined by Section 3(3) of ERISA, and any other bonus, profit sharing, pension, compensation, deferred compensation, stock option, stock purchase, fringe benefit, severance, post-retirement, scholarship, disability, sick leave, vacation, individual employment, commission, bonus, payroll practice, retention, or other plan, agreement, policy, trust fund or arrangement, and "Employee Benefit Plan" means each of such Employee Benefit Plans, individually.

  • Employee Benefit Plans shall have the meaning set forth in Section 3.20(a).

  • Company Employee Benefit Plan means each Employee Benefit Plan that is maintained, sponsored or contributed to (or required to be contributed to) by any of the Group Companies or under or with respect to which any of the Group Companies has any Liability.

  • Retirement Plans means the retirement income, supplemental executive retirement, excess benefits and retiree medical, life and similar benefit plans providing retirement perquisites, benefits and service credit for benefits at least as great in the aggregate as are payable thereunder prior to a Change in Control;
