Definitive Bearer Notes in substantially the form (subject to completion) set out in Schedule 3 (Form of Definitive Bearer Note ("ICMA" format)) to the Fiscal Agency Agreement.   • Definitive Bearer Note means a Bearer Note in definitive form being in the form or substantially in the form set out in Appendix B-3 hereto (or in such other form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser or Purchasers) issued or to be issued by the relevant Issuer pursuant to this Agreement in exchange for the whole or (subject to the terms of the relevant Temporary Global Note and/or Permanent Global Note) part of a Temporary Global and/or Permanent Global Note;

  • Bearer Notes means Notes which are specified in their Conditions as being in bearer form;

  • Definitive Registered Note means, with respect to the Notes, a certificated Note registered in the name of the Holder thereof and issued in accordance with Section 2.06 hereof, substantially in the form of Exhibit A attached hereto except that such Note shall not bear the legends applicable to Global Notes and shall not have the “Schedule of Principal Amount in the Global Note” attached thereto.

  • Definitive Security means a security other than a Global Security or a temporary Security.

  • Definitive Capital Securities Certificates means either or both (as the context requires) of (i) Capital Securities Certificates issued as Book-Entry Capital Securities Certificates as provided in Section 5.11, and (ii) Capital Securities Certificates issued in certificated, fully registered form as provided in Section 5.13.

  • Unrestricted Definitive Notes means one or more Definitive Notes that do not and are not required to bear the Private Placement Legend.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • Global Bearer Security means the ETP Securities in bearer form represented by a global security.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Unregistered Securities The meaning specified in Section 5.17(c).

  • Restricted Definitive Note means a Definitive Note bearing the Private Placement Legend.

  • Definitive Agreement means that certain Securities Purchase Agreement by and between Issuer and Treasury, dated as of the Signing Date.

  • Entry Notes means a beneficial interest in the Notes, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 2.09.

  • Bearer Securities has the meaning given to it in Condition 2.

  • Restricted Definitive Security means a Definitive Security bearing the Private Placement Legend.

  • Definitive Trust Certificates shall have the meaning set forth in Section 3.10.
