Term of Mining Licenses a. The term of any Mining License granted to the Company under this Agreement (the “Mining Term”) shall commence on the date such license is issued, and shall end on the date requested by the Company (not beyond the end of the original term of this Agreement), unless earlier terminated sooner pursuant to Section 25. The Company is entitled to renewal of renew any Mining License granted under this Agreement for consecutive additional terms not to exceed 25 years each if the Company has complied with all of its payment obligations under this Agreement and under the Revenue Code, and has complied in all material respects with its other obligations under this Agreement and the Mining Law (except for such defaults in the performance by the Company of any of such obligations that have been cured to the reasonable satisfaction of, or waived by, the Inter-Ministerial Concessions Committee established under the Public Procurement And Concessions Act of 2005, as then in effect, or any similar successor body (failing the existence of any such body, by the Minister)on (i) demonstration by the Company that there continues to exist in the Production Area Proved Mineral Reserves of the Minerals covered by such Mineral License in sufficient quantities to support continued mining for at least 80% of the renewal term requested by the Company (assuming no interruptions to production), (ii) delivery by the Company and approval by the Minister in the manner provided in Section 5.10 of an updated Feasibility Report setting forth the Company’s Mining and capital expenditure plan for the extended term and otherwise complying with the requirements of Section 5.4 through Section 5.9, and (iii) satisfaction of such other conditions as otherwise may be required by applicable Law. The Company may apply for renewal of a Mining License not more than three years and not less than one year prior to the date of expiration of the current Mining License.

However, for the Contractor to be relieved of the Sales Tax liability, the contract must be a “separated contract”, i.e., costs of materials incorporated into the project must be separated from all other costs of the project. As a seller, Contractor must issue a resale certificate (must hold a sales tax permit to do this) to the supplier in lieu of the sales tax at the time of the purchase. The OWNER will issue to the Contractor an exemption certificate for the Contractor’s records in substantiating materials “resold” to the OWNER by the Contractor’s incorporation of said materials on the OWNER project(s).

  • Evaluation Licenses Access to the Software may be provided to You for beta, demonstration, test, or evaluation purposes, (collectively, “Evaluation Licenses”). For any Evaluation Licenses, the term shall be limited to thirty (30) days (the “Evaluation Period”), unless otherwise agreed to by Xxxxxxxxx in writing. Evaluation Licenses are limited specifically to use for evaluation or demonstration purposes only, and You agree not to use such Software in a production or non-test environment. Your use of the Software under an Evaluation License is provided as-is, without any representations or warranties of any kind, and is at Your sole risk. Honeywell has no obligation to support, maintain or provide any assistance regarding any Evaluation Licenses. IN NO EVENT WILL HONEYWELL BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, STATUTORY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, DAMAGE TO SYSTEMS OR EQUIPMENT, OR BUSINESS INTERRUPTION). YOU ARE NOT ENTITLED TO ANY DEFENSE, INDEMNIFICATION FOR EVALUATION LICENSES GRANTED PURSUANT TO THIS SECTION.

  • Royalties, Licenses, and Patents Unless otherwise specified, Contractor shall pay all royalties, license, and patent fees associated with the goods that are the subject of this solicitation. Contractor warrants that the goods, materials, supplies, and equipment to be supplied do not infringe upon any patent, trademark, or copyright, and further agrees to defend any and all suits, actions and claims for infringement that are brought against the City, and to defend, indemnify and hold harmless the City, its elected officials, officers, and employees from all liability, loss and damages, whether general, exemplary or punitive, suffered as a result of any actual or claimed infringement asserted against the City, Contractor, or those furnishing goods, materials, supplies, or equipment to Contractor under the Contract.

  • Licenses Awarded Vendor shall maintain, in current status, all federal, state and local licenses, bonds and permits required for the operation of the business conducted by awarded Vendor. Awarded Vendor shall remain reasonably fully informed of and in compliance with all ordinances and regulations pertaining to the lawful provision of goods or services under the Agreement. TIPS and TIPS Members reserves the right to stop work and/or cancel an order or terminate this or any other sales Agreement of any awarded Vendor whose license(s) required for performance under this Agreement have expired, lapsed, are suspended or terminated subject to a 30-day cure period unless prohibited by applicable statue or regulation.

  • Permits, Licenses, and Safety PURCHASER shall procure all permits and licenses, pay all charges and fees, and give all notices necessary and incident to the due and lawful prosecution of the operations. STATE may at any time require PURCHASER to satisfy STATE that operations under this contract comply with state, federal, and local laws and regulations. STATE may require PURCHASER to obtain a permit, license, or approval from the governmental body or agency responsible for administering applicable laws before PURCHASER may begin or continue an operation under this contract. In the performance of the operations, PURCHASER shall use every reasonable and practicable means to avoid damage to property and injury to persons. The responsibility of PURCHASER stated herein shall cease upon the operations being accepted as complete by STATE.

  • Permits and Licenses The Contractor shall observe and comply with all laws, rules, and regulations affecting services under this Agreement. The Contractor shall procure and keep in full force and effect during the term of this Agreement all permits and licenses necessary to accomplish the Work contemplated in this Agreement.
