Programming Information. 8.1.1 No later than one hundred eighty (180) Days before the start of each Contract Year, Seller shall provide Buyer with:
Programming Information. Landlord and Tenant acknowledge that they have approved the space plan for the Premises prepared by ID Architecture dated May 20, 2010 and known as SP-2 (the “Space Plan”). Tenant shall furnish to Landlord all information that, together with the Space Plan, is necessary, in the judgment of Landlord, the Architect and the Engineers, to complete the architectural, engineering and final architectural working drawings for the Premises in a form that is sufficient to enable subcontractors to bid on the work and to obtain all applicable permits for the Tenant Improvement Work (the “Construction Drawings”), including electrical requirements, telephone requirements, special HVAC requirements, plumbing requirements, and all interior and special finishes (collectively, the “Programming Information”). The Programming Information shall be consistent with Landlord’s requirements for avoiding aesthetic, engineering or other conflicts with the design and function of the balance of the Building (collectively, the “Landlord Requirements”) and shall otherwise be subject to Landlord’s reasonable approval. Landlord shall provide Tenant with notice approving or reasonably disapproving the Programming Information within five (5) business days after the later of Landlord’s receipt thereof or the mutual execution and delivery of this Agreement. If Landlord disapproves the Programming Information, Landlord’s notice of disapproval shall describe with reasonable specificity the basis for such disapproval and the changes that would be necessary to resolve Landlord’s objections. If Landlord disapproves the Programming Information, Tenant shall modify the Programming Information and resubmit it for Landlord’s review and approval. Such procedure shall be repeated as necessary until Landlord has approved the Programming Information.

Information provided by Tenant, including the nature of the Tenant's business, manner of operation, number and types of rooms, special equipment and functional requirements, anticipated growth, interactions among groups, and any other programming requirements the Tenant may have.

Within 5 days after Tenant’s execution of this Lease, Tenant will provide to Landlord’s Design Professionals the programming information necessary to include the Tenant Improvements (as defined in Section 3(b) below) in the Proposed Plans (as hereinafter defined), including, without limitation, the number and sizes of the required offices and conference rooms; the restroom, break-room and production area requirements; the racking plans and the desired location of dock equipment and battery chargers (collectively, the “Programming Information”).

To the extent Landlord, the Architect and the Design-Assist Consultants thereafter need any additional Programming Information, Tenant shall furnish the same within ten (10) business days following Landlord’s (or Architect’s or the Design-Assist Consultants’) request for the same. The Programming Information shall be consistent with the Landlord Requirements and shall otherwise be subject to Landlord’s reasonable approval. Landlord shall provide Tenant with notice approving or reasonably disapproving the Programming Information within five (5) business days after Landlord’s receipt of the same. If Landlord disapproves the Programming Information, Landlord’s notice of disapproval shall describe with reasonable specificity the basis for such disapproval, and Landlord, Tenant and the Architect shall expeditiously and in good faith work together to agree upon mutually acceptable programming Information.
