Age UK Tonbridge and Sevenoaks will ensure that criminal record checks are conducted as required by legislation. Age UK Tonbridge and Sevenoaks will ensure that staff are familiar with, and follow, all relevant policies on the protection of vulnerable adults.

Personnel Issues. The Parties recognize and understand that certain key personnel, such as those individuals employed by the Consultant to manage, supervise, direct, or plan for providing the Services contemplated by this Agreement, can have an impact on the favorable outcome of the project and on the stewardship of Town funds toward providing the Services. Subject to such recognition and understanding, the Consultant warrants that it will employ key personnel that will provide the Services in a professional manner. In the event the Town Administrator becomes dissatisfied with the professionalism of the performance of a Consultant employee providing Services under this Agreement, utilizing an objective standard based upon the Consultant's representations and Town specifications regarding the Services, which may include, but is not limited to, behavior which brings discredit upon the Town, the Consultant offers the Town the following process by which the Consultant will resolve the Town Administrator’s dissatisfaction. The Town Administrator shall have the option of, in her or his sole discretion, providing timely notification to the Consultant of such dissatisfaction. The notification may include the known facts which give rise to the problem, and may include a request by the Town that the Consultant consider a transfer or reassignment of such employee out of service to the Town when such employee is failing to perform the Services in a professional and effective manner. Thereafter, representatives of the Consultant and the Town Administrator shall meet to discuss possible remedies the Contactor might voluntarily offer to address the problems experienced by the Town. The Consultant shall act within thirty (30) calendar days and in good faith to resolve any problems experienced by the Town. If problems persist after the Consultant has taken such action in good faith, and provided the Town Administrator has notified the Consultant of the Town’s continuing dissatisfaction in accordance with this Section, the Consultant will offer to remove any Consultant employee from performing any work for the Town, to reasonably limit, in any manner, the work done for the Town by any Consultant employee, or to transfer or reassign any of its employees out of service to the Town or to a different position acceptable to the Town Administrator. Personnel Issues. If either Party notifies the other Party that it believes certain Sales Representatives, Treatment System Specialists or other employees or agents of a Party, as applicable, may (i) have violated any Laws, (ii) be damaging relationships with health care professionals or damaging the Product brand or (iii) have failed to comply with this Agreement, the Party giving notice shall have the right to request that the other Party immediately address the performance of such individual, in addition to any other rights or remedies available to the Party giving notice under this Agreement, at Law or in equity. The Party employing or contracting with such individual shall promptly evaluate such issue in accordance with applicable policies or as it may otherwise deem appropriate. Such Party shall keep the other Party reasonably informed of the progress of, and information learned during, its evaluation. If determined by the Party employing or contracting with such individual, such Sales Representative, Treatment System Specialist or other employee or agent shall be replaced and removed from performance of Commercialization activities for the Products pursuant to this Agreement.

DBS checks must be undertaken as required by legislation, the Youth and Community Worker post to be risk assessed according to access and appropriate training given. The Council will ask for confirmation of training completion and details of scheduled refresh training. Contract monitoring will incorporate information exchange about safeguarding concerns or incidents. INSURANCE Wouldham Parish Council must ensure that its insurance policies are adequate to cover all eventualities in the provision of this service and maintain the following minimum cover. Public Liability Insurance: £5 million. Employers Liability: £10 million Motor Vehicle: Third party cover with unlimited indemnity for third party injury and £5 million for third party property damage. Adequate professional indemnity, errors and omissions or malpractice insurance. The above cover will be maintained with a reputable company or companies and the Borough Council will be provided, on request, such information as may be reasonably required to confirm that the insurance referred to above has been affected and is adequate and in force at all times. STATUTORY OBLIGATIONS Both parties will comply with all relevant current and future legislation applicable to the provision of the service.

Personnel Issues. During the Access Period, AMG shall continue to employ such employees for the benefit of GM or its designee as shall then be employed by AMG and shall be requested by GM or its designee (the "Employees"), and GM shall promptly reimburse AMG for all cash and non-cash costs and expenses relating to the Employees which are incurred or accrued during the Access Period. Without limiting the -5- generality of the foregoing, GM shall reimburse or satisfy AMG for all amounts incurred or accrued by AMG to meet payroll obligations to Employees, including without limitation, salaries, wages, payroll taxes, workers' compensation, unemployment insurance, retirement health care, life and disability insurance, welfare, pension and other payments and contributions required to be made by AMG with respect to the Employees, which are incurred or accrued during the Access Period (whether or not such costs and expenses are due and payable during such Access Period or at any time thereafter). Upon termination of the Access Period, GM shall promptly remit to AMG a lump sum payment, to satisfy its obligation to AMG for all payroll obligations to Employees incurred or accrued by AMG, but not paid during the Access Period. Specifically with regards to pension, retirement health care, life insurance and all other post-employment obligations of AMG, GM shall pay to AMG the service cost accrued thereon during the Access Period, which will be determined in accordance with GAAP based on the most recent year- end audited annual actuarial assumptions used by AMG for financial reporting purposes using a 9% discount rate. For all liabilities incurred or accrued but not payable during the Access Period not covered by the preceding sentence, GM shall pay to AMG an amount representing the then present value determined by a 9% discount rate. Upon receipt of the aforementioned lump sum payment, GM shall receive a release from AMG for any further obligations with regard to all such liabilities. In no event shall GM be liable for any costs or expenses relating to such Employees' service prior to the Access Period, including, without limitation, the costs of unfunded pension liabilities or accrued but unpaid wages and/or benefits.
