Officers; Duties; Bonds. (a) The officers of the Authority shall be the Chairperson and Vice-Chairperson of the Board, and the Secretary, Treasurer and Controller. The Chairperson and Vice-Chairperson of the Board shall be selected by the Board. The Secretary of EBMUD is designated Secretary. Unless otherwise provided by resolution of the Board, the Chairperson shall sign all contracts on behalf of the Authority, and the Secretary shall countersign all such contracts.

Officers; Duties; Bonds. (1) The Board shall appoint a treasurer (the “Treasurer”) and an auditor (the “Auditor”) of the Authority pursuant to Section 6505.6 of the Act. The Board may appoint an attorney (the “Attorney”) for the Authority. All contracts shall be signed on behalf of the Authority as provided by resolution of the Board.

The Vice Chair shall act, sign contracts, and perform all of the Chair’s duties in the absence of the Chair. The Secretary shall perform such duties as may be imposed by the Board and cause a copy of this Agreement to be filed with the California Secretary of State pursuant to the Act. These officers shall have such additional powers and duties as may be determined by the Board from time to time by resolution. The City Attorney shall serve as the General Counsel of the Authority.

Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect.   • Basic Duties 1. For commercial exchanges covered by this Agreement, the Customs Tariffs of the Parties shall be applied to the classification of goods for imports into them.
