Common use of Developer Clause in Contracts

Developer. Developer represents and warrants to City that: (a) Developer is an Indiana limited liability company, duly existing and validly formed under the laws of the State of Indiana; (b) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (c) Developer has the authority: (i) to enter into this Agreement; and (ii) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.

Developer. Developer represents and warrants to each City Body that: (ai) Developer is an Indiana limited liability company, corporation duly existing and validly formed under the laws of the State of Indiana; (bii) Developer shall not enter into any contracts or undertakings that would limit, conflict with, or constitute a breach of this Agreement; (ciii) Developer has the authority: (iA) to enter into this Agreement; and (iiB) to perform its obligations hereunder, (d) Developer duly has been authorized by proper action: (i) to execute and deliver this Agreement; and (ii) to perform its obligations hereunder; and (e) this Agreement is the legal, valid, and binding obligation of Developer.,
