Certificates Transfers or exchanges of Definitive Registered Certificates issued following the occurrence of an exchange event shall be subject to the Transfer Regulations (as defined in Clause 13.2 below), the restrictions and limitations set out thereon, if any, and to such certifications, if any, as are set forth in the form of transfer attached thereto.
Reference to Transfer Regulations in this Section means the Transfer of Undertakings (Protection of Employment) Regulations 2006, as amended from time to time.
The Agents agree to comply with the Transfer Regulations as the same may be amended from time to time by agreement between the Issuer, the Registrar and the Trustee.
