Transaction Approval means Shareholder Approval together with all such other consents and approvals necessary to ensure that the rights and benefits of the holders of Underlying Shares are substantially equivalent to the rights and benefits of the holders of the existing Exchangeable Shares; provided that, for greater certainty, Transaction Approval shall not include the filing of, or the obtaining of a receipt for, the Final Prospectus;
