No “fair price,” “moratorium,” “control share acquisition,” “business combination” or other similar anti-takeover statute or regulation (a “Takeover Statute”) is applicable to the Company, the Common Stock and the sale and issuance of the Investor Shares or the other transactions contemplated by the Transaction Agreement.
The Company shall have performed and complied in all material respects with all of its respective covenants and agreements contained in this Agreement and in any other document delivered pursuant to this Agreement (including in any Transaction Agreement) through the Closing Date.
The Company will pay all of its expenses associated with the issuance of the Investor Shares, preparation, negotiation and execution of all Transaction Agreement and the transactions contemplated hereby and thereby, including, without limitation, filing fees, fees and expenses of its counsel and accounting fees and expenses, listing expenses, and with clearing the Investor Shares offered thereby for sale under applicable state securities laws.
The Investor has the requisite power and authority to enter into, execute and deliver each Transaction Agreement to which he/she/it will be a party as contemplated by this Agreement and to perform his/her/its obligations hereunder and thereunder and consummate the transactions contemplated hereby and thereby, including the purchase by the Investor of the Investor Shares.
In furtherance of the foregoing, Xxxxx acknowledges and agrees that, except for the specific representations and warranties made by the Company and Seller in Article II and Article III and any certificate entered into in connection with this Agreement or in any other Transaction Agreement, no other representations and warranties of any kind or nature, expressed or implied, have been made by any Person in connection with the Contemplated Transactions.
