The Leases and "The Originator's Leasing Business" in the Base Prospectus, nothing came to such counsel's attention that leads such counsel to believe that any of such sections (as of the Effective Date or the date of the Final Prospectus) contained an untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made not misleading (in each case other than the financial and statistical information and notes and schedules thereto, as to which such counsel need express no opinion).
