Temporary Investment definition

Temporary Investment means any of the following: (i) cash; (ii) U.S. government and agency obligations maturing within three years; (iii) commercial paper rated not lower than A-1 by Standard & Poor’s Ratings Services or its successors or P-1 by Xxxxx’x Investor Services, Inc. or its successors with maturities of not more than six months; (iv) interest-bearing deposits in internationally recognized banks having one of the ratings referred to in clause (iii), maturing within one year; (v) municipal bonds and other tax-exempt securities rated not lower than AA by Standard & Poor’s Ratings Services or its successors or Aa by Xxxxx’x Investor Services, Inc. or its successors with maturities of not more than one year; and (vi) money market mutual funds that invest principally in investments described in one or more of the foregoing clauses (i), (ii), (iv) or (v).
Temporary Investment. Any repurchase agreements of primary Federal Reserve dealers using treasury securities only; bankers acceptances which are legal for purchase by the Federal Reserve Bank; United States Treasury bills and agency discount notes; commercial paper that is rated by Mxxxx’x or S&P in its highest rating category; accounts or mutual funds which invest in any of the foregoing; and any other investment approved by the Advisory Committee as a Temporary Investment.
Temporary Investment means investments in (i) cash or cash equivalents, (ii) marketable direct obligations issued or unconditionally guaranteed by the United States, or issued by any agency thereof, maturing within one year from the date of acquisition thereof, (iii) money market instruments, commercial paper or other short-term debt obligations having at the date of purchase by the Partnership the highest or second highest rating obtainable from either Standard & Poor’s Ratings Services or Xxxxx’x Investors Services, Inc., or their respective successors, (iv) interest bearing accounts at a registered broker-dealer, (v) money market mutual funds, (vi) certificates of deposit maturing within one year from the date of acquisition thereof issued by commercial banks incorporated under the laws of the United States or any state thereof or the District of Columbia, or organized under the laws of a non-U.S. country, which banks have branches in the United States, each having at the date of acquisition by the Partnership combined capital and surplus of not less than $250 million, (vii) overnight repurchase agreements with primary Federal Reserve Bank dealers collateralized by direct U.S. Government obligations or (viii) pooled investment funds or accounts that invest only in Securities or instruments of the type described in (i) through (iv). For the avoidance of doubt, subject to the requirements of the 1940 Act, Temporary Investments may be held at, managed by, or purchased from, any Person that satisfies the foregoing requirements.

If there exists any uncertainty as to whether any investment by the Partnership constitutes a Temporary Investment or a Portfolio Investment, such investment shall be deemed a Temporary Investment unless the General Partner determines in the exercise of its good faith judgment that such investment is a Portfolio Investment.
Temporary Investment means direct obligations of, and obligations the timely payment of principal and interest on which is fully and expressly guaranteed by, the United States or any agency or instrumentality of the United States the obligations of which are expressly backed by the full faith and credit of the United States, in each case having(i) debt securities of the United Kingdom known as Gilts; and (ii) commercial paper or other short-term obligations having at the time of such investment a credit rating of not less than "P-1" by Xxxxx'x Investors Service, Inc. ("Moody's") and "A-1+" by Standard & Poor's ("S&P") of issuers whose long-term unsecured debt rating is "Aa3" or better by Moody's and "AA-" or better by S&P; and, in each case, are denominated and payable in pounds sterling and have a stated maturity (giving effect to any applicable grace period) no later than the Business Day following the date of investment.
