Surviving Contracts definition

Surviving Contracts has the meaning set forth in Section 3.01(b).
Surviving Contracts means any Contracts, excluding the Cancelled Contracts. It is understood that the Management Agreement encumbering all of the Assets with Capital Senior Management 2, Inc., dated as of July 29, 1996 will be cancelled by Seller at or prior to Closing.
Surviving Contracts is defined in Section 2.6(c).

Examples of Surviving Contracts in a sentence

  • For the avoidance of doubt, the Surviving Contracts shall also survive in accordance with their respective terms and are not superseded by this Agreement.

  • From and after the Closing, Parking Company will pay all amounts due to the Contractors under the Surviving Contracts that Parking Company has assumed in accordance with the terms and provisions of this Section 2.6(e) from the Operating Expense Account.

  • Parking Company shall not assume any liability prior to the Effective Date for the Surviving Contracts.

  • From and after the Closing, Parking Company will indemnify Metro from and against any claims arising in connection with any Surviving Contract as and to the extent such claims relate to obligations under the Surviving Contracts that Parking Company has assumed in accordance with the terms and provisions of this Section 2.6(e).


More Definitions of Surviving Contracts

Surviving Contracts shall have the meaning set forth in Section 11(a).
Surviving Contracts is defined in ss.1. "Third Party Offer" is defined in ss.27. "Title Company" is defined in ss.5. "Title Commitment" is defined in ss.5. "Title Notice" is defined in ss.5.
Surviving Contracts means the contracts listed on Schedule 5.
Surviving Contracts means all agreements among any of the UK Affiliates and any of the Debtors (i) that were entered into on or after September 15, 2008 (other than any Tolling Agreement) or (ii) are set forth on Schedule 8.
Surviving Contracts means the New Contracts and the Existing Contracts, excluding those Desired Cancelled Contracts which have actually been cancelled with an effective cancellation date on or before the Closing. The Surviving Contracts shall include the CBRE Agreement (solely with respect to Purchaser’s obligations under Section 20(b) and the surviving rights of CBRE, Inc.) notwithstanding such agreement will be terminated on or prior to Closing.
Surviving Contracts means (i) the Service Contracts listed on Exhibit 1(C) annexed hereto and made a part hereof and (ii) any Service Contracts entered into by Seller after the date hereof in accordance with Article 20 hereof which will not be terminated at or prior to the Closing in accordance with the terms hereof.
Surviving Contracts means any Service Contracts entered into after the date hereof which remain in effect after the Closing, to the extent permitted under this Agreement, and those Service Contracts listed on Exhibit 1(D) attached hereto.
