Substituted Member definition

Substituted Member means a Person that is admitted as a Member to the Company pursuant to Section 12.01.
Substituted Member means a Person who is admitted as a Member of the Company pursuant to Sections 4.5 or 4.7 in place of and with all rights of a Member and who is shown as a Member on the books and records of the Company.
Substituted Member means a Person that is admitted as a Member to the Company pursuant to Section 10.1.

Examples of Substituted Member in a sentence

  • Unless and until an Assignee has become a Substituted Member, such Assignee shall be deemed to be an Assignee only of the right to share in the distributions and allocations of the Company, and shall have no other rights (including, without limitation, voting rights) hereunder.

  • Subject to full compliance with the terms and provisions of this Agreement, any instrument reflecting the assignment of the Company interest of a Member and the admission of the transferee as a Substituted Member of the Company need only be executed and acknowledged by a Manager, the transferor and the transferee.

Substituted Member means any Person admitted to the Company as a substituted Member pursuant to the provisions of Article 9.
