Stockholders Meeting definition

Stockholders Meeting shall have the meaning set forth in Section 6.2(c).

• If the Company does not obtain Stockholder Approval at the Stockholders’ Meeting, the Company shall call a meeting every three (3) months thereafter to seek shareholder approval until the date that stockholder approval is obtained (the “Stockholder Approval Date”).

• The adoption of this Agreement by the affirmative vote of the holders of a majority of the shares of Company Common Stock outstanding on the record date for the Company Stockholders’ Meeting (the “Company Stockholder Approval”) is the only vote of the holders of any class or series of the Company’s capital stock necessary to adopt this Agreement and otherwise approve and consummate the Mergers and the other transactions contemplated by this Agreement as set forth herein.
