Share Reserve definition

Share Reserve means the number of shares available for issuance under the Plan as set forth in Section 2(a).

Share Reserve shall have the meaning given to it in Section 10.21 hereof.

Share Reserve means the aggregate number of Ordinary Shares available for issuance pursuant to Awards from and after the Effective Date under the Plan as set forth in Section 3(a).

• Finally, Company shall require the Transfer Agent to issue Common Shares pursuant to the Pre-Paid Purchase to Investor out of its authorized and unissued shares, and not the Share Reserve, to the extent Common Shares have been authorized, but not issued, and are not included in the Share Reserve.

• Company shall further require the Transfer Agent to hold the Common Shares reserved pursuant to the Share Reserve exclusively for the benefit of Investor and to issue such shares to Investor promptly upon Investor’s delivery of a Purchase Notice under the Pre-Paid Purchase.

• The Transfer Agent shall only issue Common Shares out of the Share Reserve to the extent there are no other authorized shares available for issuance and then only with Investor’s written consent.

Share Reserve means as defined in Section 4 of the Plan.

Share Reserve shall have the meaning set forth in Section 7.5 of this Agreement.
