PIPE Investment definition

PIPE Investment has the meaning specified in the Recitals hereto.

PIPE Investment means the purchase of shares of Domesticated Acquiror Common Stock pursuant to the Subscription Agreements.

PIPE Investment means the purchase of Parent A Shares pursuant to the PIPE Agreement.

Examples of PIPE Investment in a sentence

• To the knowledge of the Company, the proceeds of the Concurrent PIPE Investment will be made available to Parent following the consummation of the Mergers.

• The terms of the PIPE Investment shall be mutually agreed upon by Acquiror and the Company and set forth in subscription or purchase agreements in form and substance satisfactory to each them (the “PIPE Agreements”).

• Neither the Company nor, to the knowledge of the Company, any of its Affiliates has entered into any agreement, side letter or other arrangement relating to the Concurrent PIPE Investment other than as set forth in the Subscription Agreement.

An institutional investor that had committed to purchase an aggregate of 1,000,000 shares of Class A common stock for $10.00 per share to be included in the PIPE Investment defaulted under its subscription agreement, and failed to fund the $10,000,000 investment it had committed to make (See “Legal Proceedings”).
