Examples of Party or Parties in a sentence
Party or Parties shall mean NYISO, Connecting Transmission Owner, or Transmission Developer or any combination of the above.
Each Party: agrees that it will not have any claim, ownership or interest in the other Party’s Background Intellectual Property; acknowledges and agrees that, subject to clauses 6.5 and 6.6, Improvements will be owned by the Party or Parties that own the relevant Background IP; and grants the other Party a non-exclusive, fee and royalty-free licence for the use of any Background Intellectual Property made available by the granting Party for the purpose of carrying out the Project only.
Each Party warrants that, to the best of its knowledge and belief at the time of entering into this Agreement, it is not aware of any matter, fact or circumstance that is likely to adversely affect its ability to meet its obligations in relation to this Agreement, but if, during the term of this Agreement a conflict, or risk of conflict of interest, arises it shall promptly notify the other Party or Parties immediately in writing of that conflict or risk.
The indemnifying Party’s liability to indemnify another Party under this clause 10 will reduce proportionately to the extent that any unlawful act or omission, or negligence or wilful misconduct by the indemnified Party or Parties contributed to the loss or damage sustained by the indemnified Party or Parties.
Any Party may request that the appropriate other Party or Parties provide copies of the requirements set forth or referenced in Appendix C hereto.
