Outside Activities definition

Outside Activities has the meaning specified in Section 17.4.

Outside Activities shall have the meaning set forth in Section 3.3(a).

Examples of Outside Activities in a sentence

• If a Board nominee is engaged in Outside Activities that are competitive with the Council, such Board nominee shall notify the Chair of the general competitive nature of such Outside Activities promptly after his or her nomination and, in any event, prior to the Board election in which such nominee is a candidate.

• If a Board Member is not engaged in Outside Activities that are competitive with the Council prior to his or her election to the Board, he or she shall notify the Chair of the general competitive nature of any such activities prior to engaging in any such competitive Outside Activities while a Board Member.

• In addition, nothing herein shall require any Member, Council Representative, Committee Delegate, or any Affiliates of any Member to offer any interest in such Outside Activities to the Council or any other Member.

• For the avoidance of doubt, there is no restriction on Board Members engaging in Outside Activities, regardless of whether such activities are competitive with the Council, and any Board Member involved in Outside Activities shall remain bound by the confidentiality obligation of Section 11.14 hereof in connection with such Outside Activities.

• Outside Activities During Parental Leave: Bargaining-unit members on parental leave may not engage in additional salaried employment, and during the leave, all University policies, including but not limited to those governing consulting and outside employment7 and conflict of interest8, shall continue to apply to the bargaining-unit member as if that member were not on leave.

Outside Activities. Employee agrees that while employed by Employer he/she will refrain from any outside activities or activities which actually or potentially are in direct conflict with the essential enterprise-related interest of the Employer that would cause a material and substantial disruption of the Employer's operations or would be in direct competition with the Bank or assist competitors of the Bank.
