Amend any Organization Documents of any Loan Party or Restricted Subsidiary in any manner that could reasonably be expected to adversely and materially affect the rights of the Lenders under this Agreement or any other Loan Document or their ability to enforce any provisions of this Agreement or any other Loan Document, or that could reasonably be expected to have a Material Adverse Effect.
Subject to the DIP Order, comply in all material respects with its Organization Documents and the requirements of all Laws and all orders, writs, injunctions and decrees of any Governmental Authority (including any order of the Bankruptcy Court) applicable to it or to its business or property, except if the failure to comply therewith would not reasonably be expected individually or in the aggregate to have a Material Adverse Effect.
The Agent has received a copy of the Organization Documents of each Facility Party, certified as of a recent date by the Secretary of State of Delaware.
