  • The use of, and access to, Licensed Materials and/or any other information provided to you pursuant to this Agreement (hereinafter referred to collectively as "Proprietary Information”) will be strictly limited to those of your employees necessary for the design, development, evaluation and testing of OEM Products and such employees shall have written agreements with you with terms which bind such employee to obligations of use sufficient to satisfy your like obligations under this Agreement.
