Misrepresentation definition

Misrepresentation means an untrue statement of a material fact or an omission to state a material fact required or necessary to make the statements contained therein not misleading in light of the circumstances in which they are made.
Misrepresentation has the meaning ascribed thereto in the Securities Act;
Misrepresentation provisions of Section 5(a)(iv) will not apply to Party A or Party B.
