Merck IP definition

Merck IP means the Merck Patent Rights and Merck Know-How.
Merck IP means the [ *** ].
Merck IP means the intellectual property rights owned or developed by Merck or its Affiliates under the License Agreement, which are further clarified in Section 2.5 below and are set forth in Schedule 1.6.

  • Merck hereby grants to NGM a non-exclusive, royalty-free license, under the Merck IP, solely for NGM to conduct the Research Program during the Research Program Term and to research, Develop and use Tail Compounds/Targets during the Tail Period.

  • During the NP201 Research Term, Merck hereby grants to NGM a non-exclusive, royalty-free license, under the Merck IP, solely for NGM to conduct its obligations under the NP201 Research Plan with respect to NP201 Compounds.

  • Reverse Royalties as set forth in Schedule 10.4 (c) Part II Xx. 0, 0 xxx 0 xxxxx xx due for Idera’s, its Affiliates, or its sublicensee’s use of the Merck IP.

  • For clarity, if Idera purchases Compound, Follow-on Compound or Licensed Product manufactured with Merck IP, Idera is obliged to take a license to Merck IP and the Reverse Royalities in Article 5.3 will be due if such Merck IP is used for Compound, Follow-on Compound or Licensed Product.

  • If Idera develops such manufacturing process without relying upon or using any Merck IP, then no Reverse Royalties will be due on Compounds, Follow-on Compounds, or Licensed Products manufactured by Idera with that manufacturing process.

  • Merck will destroy those materials listed in Schedule 4 not purchased by Idera within a reasonable time following [**] months of the Effective Date, and Idera´s option to take a worldwide license to the Merck IP, excluding the Trademark, will expire.

  • Merck has established certain new processes with regard to the formulation and manufacture of the Licensed Product and now possesses certain Merck IP related thereto.

Related to Merck IP

  • Program Technology means Program Know-How and Program Patents.

  • Patent Rights means the rights and interests in and to issued patents and pending patent applications (which, for purposes of this Agreement, include certificates of invention, applications for certificates of invention and priority rights) in any country or region, including all provisional applications, substitutions, continuations, continuations-in-part, divisions, renewals, all letters patent granted thereon, and all reissues, re-examinations and extensions thereof, and all foreign counterparts of any of the foregoing.

  • Licensed Patent Rights means:

  • Developed IP means any Intellectual Property Rights that are both: (a) related to a Compound or Product and (b) generated, conceived, discovered or otherwise created by Iterum, its Affiliates or sublicensees alone or together with one or more Third Parties following the Effective Date.

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.

  • Company Technology means all Technology owned or purported to be owned by the Company.
