Material Environmental Liability definition

Material Environmental Liability means an Environmental Liability which may reasonably be expected to result in (i) a discontinuation of a substantial portion of the business, operations or development of any of the Borrower Entities, (ii) potential costs, liabilities or other losses in excess of $1,000,000 or (iii) any designation of any portion of the Real Property Collateral on a list maintained by any U.S. federal, state or local Governmental Authority of sites at which a Release of Hazardous Materials has occurred.
Material Environmental Liability means any Environmental Liability that has had or could reasonably be expected to have a Material Adverse Effect.
Material Environmental Liability means any Environmental Liability that could reasonably be expected to result in costs or expenses of $2,000,000 or more.

Examples of Material Environmental Liability in a sentence

  • Each Loan Party shall, and shall cause each of its Subsidiaries to, comply with, and maintain its Real Estate, whether owned, leased, subleased or otherwise operated or occupied, in compliance with all applicable Environmental Laws or as is required by orders and directives of any Governmental Authority except where the failure to comply could not reasonably be expected to, individually or in the aggregate, result in a Material Environmental Liability.

  • Each Credit Party shall, and shall cause each of its Restricted Subsidiaries to comply with, and maintain its Real Estate, whether owned, leased, subleased or otherwise operated or occupied, in compliance with all applicable Environmental Laws (including, without limitation, Environmental Laws related to the Release of Hazardous Materials) except where the failure to comply would not reasonably be expected to, individually or in the aggregate, result in a Material Environmental Liability.

More Definitions of Material Environmental Liability

Material Environmental Liability means each individual liability, claim or cause of action due to Environmental Matters in excess of $50,000.
Material Environmental Liability means any liability, contingent or otherwise (including any liability for damages, costs of environmental remediation, fines, penalties or indemnities) relating to Quorum or any of its Subsidiaries directly or indirectly resulting from or arising under Environmental Laws, Environmental Permits or Materials of Environmental Concern that would reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.
Material Environmental Liability means Environmental Liabilities exceeding $500,000 in the aggregate at any time.
Material Environmental Liability means an Environmental Liability that, either individually or in the aggregate with other Environmental Liabilities if arising from related Environmental Conditions, facts or circumstances, could reasonably be expected to result in Losses or Liabilities in excess of $2,500,000.
Material Environmental Liability means Environmental Liability that could reasonably be expected to result in Losses in excess of five million dollars ($5,000,000).
Material Environmental Liability means any Environmental Liability that has had or would reasonably be expected to have a Material Adverse Effect.
