Any such amendment with respect to a Benchmark Transition Event will become effective at 5:00 p.m. (New York City time) on the fifth (5th) Business Day after the Administrative Agent has posted such proposed amendment to all affected Lenders and the Lead Borrower so long as the Administrative Agent has not received, by such time, written notice of objection to such amendment from Lenders comprising the Required Lenders.
Each such Borrowing Request shall be irrevocable and shall be delivered to the Administrative Agent in writing in substantially the form of Exhibit B attached hereto and signed by the Lead Borrower.
Reference is made to the Revolving Credit Agreement, dated as of October 26, 2023 (as amended, modified, restated, amended and restated, and/or supplemented from time to time, the “Credit Agreement”), among Holdings, the Lead Borrower, the Designated Borrowers from time to time party thereto, the lenders from time to time party thereto (the “Lenders”), the Administrative Agent, the Issuing Banks from time to time party thereto (the “Issuing Banks”) and the other parties from time to time party thereto.
The Lead Borrower may, at any time and from time to time, upon notice to the Administrative Agent, designate as an Issuing Bank one or more Multicurrency Revolving Lenders that agree to serve in such capacity as provided below.
It is understood and agreed that any Person that the Lead Borrower designates as a Guarantor pursuant to Section 5.9 of the Credit Agreement and who delivers a Guaranty Joinder Agreement shall become a Guarantor hereunder in accordance with the terms of Section 5.9 of the Credit Agreement.
