HBI Common Stock definition

HBI Common Stock means the common stock, $0.01 par value per share, of HBI.
HBI Common Stock has the meaning assigned to such term in paragraph (C) of the Recitals.
HBI Common Stock shall have the meaning set forth in the preamble of this Agreement.

  • Notwithstanding any other provision of this Agreement, each holder of shares of HBI Common Stock or Providence Common Stock exchanged pursuant to the Transaction, who would otherwise have been entitled to receive a fraction of a share of CCF Common Stock (after taking into account all Certificates delivered by such holder), shall receive, in lieu thereof, cash (without interest) in an amount equal to such fractional part of a share of CCF Common Stock multiplied by the CCF Share Value.

  • At the Effective Time, the stock transfer books of each of HBI and Providence shall be closed, and no transfer of HBI Common Stock or Providence Common Stock by any holder thereof shall thereafter be made or recognized.

  • Subject to Section 3.2 hereof, on or prior to the Distribution Date, Xxxx Xxx will instruct the Agent to distribute on the Distribution Date the appropriate number of such shares of HBI Common Stock to each such Record Holder.

  • HBI shall prepare, file and use its reasonable best efforts to seek to make effective, an application for listing of the HBI Common Stock on the New York Stock Exchange (“NYSE”), subject to official notice of distribution.

  • Any HBI Common Stock or cash in lieu of fractional shares with respect to HBI Common Stock that remain unclaimed by any Record Holder 180 days after the Distribution Date shall be delivered to HBI.

  • Subject to Section 3.2 and Section 3.5, each Record Holder will be entitled to receive in the Distribution a number of shares of HBI Common Stock equal to the number of shares of Xxxx Xxx Common Stock held by such Record Holder on the Record Date multiplied by the distribution ratio to be determined by Xxxx Xxx’x Board of Directors when it declares the Distribution (the “Distribution Ratio”).

HBI Common Stock means HBI’s common stock, no par value per share. “HBI Dissenter Shares” shall have the meaning set forth in Section 2.1(b). “HBI Exchange Ratio” shall mean 0.9504.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Old Common Stock means the Company's common stock, par value $.01 per share, outstanding as of the date of the Company's filing of the petition commencing the Chapter 11 Case.

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Parent Common Stock means the common stock, par value $.001 per share, of Parent.

  • Common Stock means the common stock of the Company.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Company Common Stock means the common stock, $0.001 par value per share, of the Company.

  • Target Common Stock means the common stock, $.0001 par value per share, of Target.

  • Common Stock Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Stock, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Stock.

  • Voting Common Stock means the Voting Common Stock, par value $.01 per share, of the Company.

  • Class A Common Stock means the Company's Class A Common Stock, par value $.01 per share.

  • Company Stock means the common stock of the Company.

  • Fully-Diluted Common Stock means the outstanding Common Stock and the shares of Common Stock issued or issuable upon exercise of Warrants (assuming full exercise).

  • Class B Common Stock means the Class B common stock, par value $0.0001 per share, of the Company.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Merger Sub Common Stock means the shares of common stock, par value $0.001 per share, of Merger Sub.

  • Common Shares means the common shares in the capital of the Company;

  • Restricted Common Stock means shares of Common Stock which are, or which upon their issuance upon the exercise of any Warrant would be required to be, evidenced by a certificate bearing the restrictive legend set forth in Section 3.2.

  • Underlying Common Stock means the Common Stock into which the Notes are convertible or issued upon any such conversion.
