Furthermore, any Work done or materials used without adequate notice to and opportunity for prior inspection by TxDOT (if applicable) or without inspection in accordance with Contract Documents and/or Project Management Plan may be ordered uncovered, removed or restored at DB Contractor’s cost and without an adjustment to the Price or any Completion Deadline or any other relief, even if the Work proves acceptable and conforming after uncovering.
If the Work exposed or examined is not in conformance with the requirements of the Contract Documents, then uncovering, removing and restoring the Work and recovery of any delay to any Critical Path occasioned thereby shall be at DB Contractor’s cost and DB Contractor shall not be entitled to any adjustment to the Price or any Completion Deadline or any other relief.
All materials, services and efforts necessary to achieve Substantial Completion and Final Acceptance of each of Section 1A, Section 1B and Segment 2 on or before the applicable Completion Deadline shall be DB Contractor’s sole responsibility, except as otherwise specifically provided in the Contract Documents.
If the Seller anticipates completing them sooner, Seller will send a notice of early completion of the Substantial Completion Milestone Deadline (the "Early Substantial Completion Milestone Notice") at least three (3) months in advance, indicating the expected achievement of the Substantial Completion Milestone (the "Early Substantial Completion Milestone Date").
Such payments shall be made to each Investor then holding Registrable Securities in cash no later than ten (10) Business Days after the end of the date of the initial failure to file such Registration Statement by the Filing Deadline and each subsequent 30-day period (or portion thereof with respect to a final period, if any) thereafter until such Registration Statement is filed with respect to the Registrable Securities.
