Covered Compound definition

Covered Compound means the Compound and the Backup Compounds.
Covered Compound means any compound that is covered or claimed by a Sanofi Sole Invention Patent or a Joint Patent, in either case, including, any metabolites, salts, esters, free acid forms, crystal forms, free base forms, pro-drug forms, racemates and all optically active forms of any such foregoing compound.

More Definitions of Covered Compound

Covered Compound means any compound: (a) the making, using or selling of which falls within the scope of a Valid Claim; and/or (b) that is/was identified, developed and/or made, at any stage of development or manufacture, with or through the use of, or that incorporates, TRDF Results, and/or Technology Transfer Material; and/or (c) that is/was developed by or on behalf of a Related Party through the use or modifications of a Covered Compound described in (a) or (b).
Covered Compound means ER Modulators, PR Modulators, Wyeth PR Compounds, Final Wyeth PR Compounds, and Ligand PR Compounds. For the avoidance of doubt, compounds that do not have both IC50 /= 100X the nearest alternate target shall not be "Covered Compounds". A complete list of Covered Compounds subject to the payment of applicable milestones and royalties is set forth in Attachments 1.12, 1.23, 1.37, 1.16 and 1.19. Covered Compounds shall exclude Wyeth Compounds.
Covered Compound shall have the meaning set forth in the Master Restructuring Agreement.
