Examples of Company Warrants in a sentence
As at the date hereof, there are Company Options outstanding providing for the issuance of an aggregate of 3,785,000 Company Shares upon the exercise thereof; and Company Warrants outstanding providing for the issuance of an aggregate of 37,504,256 Company Shares upon the exercise thereof.
All outstanding Company Shares have been, and all Company Shares issuable pursuant to, or upon the exercise of, the Company Options and Company Warrants in accordance with their terms have been duly authorized and, upon issuance, will be, validly issued as fully paid and non-assessable shares of the Company and are not and will not be, as applicable, subject to or issued in violation of, any pre-emptive rights.
The Consideration Shares and Replacement Options, and the Purchaser Shares issuable after the Effective Time upon exercise of any Replacement Options or any Company Warrants, have not been and will not be registered under the U.S. Securities Act or any U.S. state securities laws.
