Examples of Class A Shares in a sentence
PubCo (or such designated member(s) of the PubCo Holdings Group) shall be treated for all purposes of this Agreement as the owner of such Units; provided that if the Cash Election Amount is funded other than through the issuance of Class A Shares, such Units will be reclassified into another Equity Security of the Company if the Managing Member determines such reclassification is necessary.
For purposes of clarity, in the event the Subscriber subscribes for and purchases Class A ordinary shares of the Company, $0.0001 par value per share (the “Class A Shares”) in the IPO or in the aftermarket, any Class A Shares so subscribed for and purchased shall be eligible to receive any liquidating distributions by the Company.
Any withdrawing Holder shall continue to have the right to include any Registrable Securities in any subsequent Registration Statement as may be filed by the Company with respect to offerings of Class A Shares, all upon the terms and conditions set forth herein.
In no event shall either Class A Shares or Class B Shares be split, divided, or combined unless the Outstanding Shares of the other class shall be proportionately split, divided or combined.
Class B Shares shall be redeemable for Class A Shares on the terms and subject to the conditions set forth in the OpCo LLC Agreement.
