Class A Note Purchaser definition

Class A Note Purchaser has the meaning given to such term in Section 4.12 hereof.
Class A Note Purchaser shall have the meaning set forth in the Class A Note Purchase Agreement.
Class A Note Purchaser means Bear, Stearns & Co. Inc. and its successors and permitted assigns.

  • In the absence of a Class A Note Purchaser Instruction where required, or in any other circumstance, the Administrative Agents may act (or refrain from taking action) as it considers to be in the best interests of the Class A Note Purchasers.

  • If, at any time, the Issuer is required by law to make any withholding or deduction from any sum payable by it in respect of any Class A Note or under the Class A Note Purchase Agreement, (or if subsequently there is any change in the rate at which or the manner in which withholding or deduction is calculated), the Issuer shall promptly notify each affected Class A Note Purchaser.

  • Nothing in this Agreement or any other Transaction Document obliges the Administrative Agents to carry out any know your customer or other checks relating to any person on behalf of any Class A Note Purchaser and each Class A Note Purchaser confirms to the Administrative Agents that it is solely responsible for any checks it is required to carry out and that it may not rely on any statement in relation to those checks made by the Administrative Agents.

  • Upon receipt of a Class A Note Purchaser Instruction under Clause 12.41 above, subject to Clauses 12.35 to 12.37 ( Resignation of the Administrative Agents), the Administrative Agent shall resign and the Class A Note Purchasers shall appoint a successor Administrative Agent in accordance with Clause 12.33(b) (Resignation of the Administrative Agents).

  • Any Class A Note Purchaser Instruction or any other consent of the Class A Note Purchasers to be provided to the Administrative Agents in accordance with the Transaction Documents must be delivered in writing to the Administrative Agents within a time period specified by it (acting reasonably) in order to constitute valid receipt of that instruction.

  • The Administrative Agents shall not be responsible for any failure to act arising from any delay in giving any Class A Note Purchaser Instruction.

  • Each Class A Note Purchaser acknowledges and agrees that the Administrative Agents shall not be under a duty to take any discretionary action permitted to be taken by it pursuant to the provisions of the Transaction Documents and Clause 12.12 above.

  • The Administrative Agents shall, with effect from the date of its appointment, act as agent of each Class A Note Purchaser in accordance with, and subject to the terms of, the Transaction Documents.

  • Unless a contrary indication appears in any Transaction Document, any Class A Note Purchaser Instruction delivered to the Administrative Agents will be binding on all Class A Note Purchasers.

  • In no circumstances will the Administrative Agents have any authority to conclude a contract on behalf of any Class A Note Purchaser.

  • Class A Noteholder means the Person in whose name a Class A Note is registered in the Note Register.
