The Administrative Agent and the Lenders shall have received all fees and other amounts due and payable by the Company in connection herewith on or prior to the Amended and Restated Effective Date, including the fee payable pursuant to Section 4.03(e) and, to the extent invoiced, reimbursement or payment of all reasonable and documented out-of-pocket expenses (including legal fees and expenses) required to be reimbursed or paid by the Company hereunder.
Notwithstanding anything to the contrary herein, this Agreement shall not become effective until the date (the "Amended and Restated Effective Date") on which each of the following conditions is satisfied (or waived by the Administrative Agent in its sole discretion):Executed Counterparts.
The Administrative Agent (or its counsel) shall have received a certificate of an officer of the Company, certifying that (x) the conditions set forth in Sections 2.05(3), 2.05(4) and 2.05(6) have been satisfied and (y) the Borrowing Base Test is satisfied, in each case, on and as of the Amended and Restated Effective Date.
