This FRAMEWORK AGREEMENT (the “Agreement”), is entered into as of May 16, 2011 by and among TAIYO Pharmaceutical Industry Co., Ltd., a company organized pursuant to the laws of Japan (“TAIYO”), and Asaph Farmaceutische Onderneming B.V., a private company with limited liability incorporated under the laws of The Netherlands (“Asaph”), and the following shareholders of TAIYO: Shigeki Aratani, Takeshi Aratani, Hisashi Aratani, Yasuyuki Aratani and Marudai Industries Co., Ltd. (“Marudai”) (such shareholders, collectively, the “Family Shareholders”, and together with TAIYO, “TAIYO Parties”).
