The Material. Felicitex shall deliver to Recipient the technical and other proprietary material and/or information as detailed in Exhibit 1 hereto (the “Material”).
The Material. Testing Consultant shall coordinate the activities of all its Subconsultants and all other members of its roofing analysis and roofing design team. The Material Testing Consultant shall be responsible for all actions of its Subconsultants and other team members in accordance with Paragraphs 3.5, Standard of Performance, 3.6, Labor, Materials, Supplies and Equipment, and 3.10, Subletting and Assignment, of this Contract.
The Material a. was created at Washington University under the supervision of a WU Principal Investigator; b. does not contain, in whole or in part, any material that was received from another party under an agreement (e.g., other Material Transfer Agreements, sponsored research agreements, or commercial purchases with use limitations) that prohibits redistribution or further transfer of such material;
The Material. The rights to the Material and any derivatives thereof belong to [X]. [Y] undertakes not to disclose to any third party and/or publish that the Material originated from and/or has been supplied by [X], unless [X] has given its prior written approval thereto. [Y] shall use the Material in compliance with all laws and governmental regulations and guidelines applicable to the Material. [Y] shall use the Material in compliance with all laws and governmental regulations and guidelines applicable to the Material, including, where applicable, the conditions of the country where the Material originates (Mutually Agreed Terms (MAT) and/or Prior Informed Consent (PIC)), and shall ensure that it can provide all required permits if requested. [X] shall provide [Y] with all the information required for this purpose.
The Material. The rights to the Material and any derivatives thereof belong to [X]. [Y] undertakes not to disclose to any third party and/or publish that the Material originated from and/or has been supplied by [X], unless [X] has given its prior written approval thereto. [Y] shall use the Material in compliance with all laws and governmental regulations and guidelines applicable to the Material. [X] is not aware of (i) any access and benefit sharing obligations attached to the Material that might apply to [Y], and/or (ii) any information and/or circumstances that indicate that the Material has been accessed contrary to the applicable legislation on access and benefit sharing of genetic resources.
The Material. Provider will make the Original Material available to Recipient for the performance of the Project. The Original Material is provided with a fee (excl. VAT) as set out on the Request Form solely to reimburse Provider for its collection, preparation, packaging and shipment costs. Provider retains ownership of the Material and its Confidential Information (as defined below).
The Material. The Material purchased by ACE from TGOD pursuant to the terms of this Agreement shall be Material produced at the Facilities of such strains as identified by ACE to TGOD in writing from among the strains TGOD is licensed to cultivate and sell. For clarity, ACE shall have no obligation to purchase strains of cannabis that it has not previously identified to TGOD as being a strain of Material that it desires to acquire. For clarity, if Material is produced by TGOD that does not comply with the requirements of this Agreement, including, but not limited to, passing all testing requirements imposed by applicable law or the Aurora Testing, ACE shall not be compelled to purchase such portion of Material that does not comply and TGOD shall be free to sell and deliver such Material to a third party. Additionally, ACE and TGOD shall work together to create forecasts for production on an annual basis, as updated quarterly. These forecasts shall include information setting out ACE's expected demands for Material, including strain types.
The Material. 2.1 Fera agrees to provide the Materials to the Customer in accordance with the Agreement.
The Material. 1. All IP rights to the Material and any derivatives thereof will remain the sole and exclusive property of [X]. [X] is and remains free to grant licenses regarding the IP Rights to the Material without the consent of [Y]
The Material. 2.1 Xxxx agrees to provide the Materials to the Customer in accordance with the Agreement.
