SUSPENDING CONDITIONS. 7.1 The consummation of the transaction, the sale of the Scailex Shares Being Sold and the Sale of the Partner Shares Being Sold pursuant to this Contract ("THE CLOSING OF THE TRANSACTION") are contingent upon the fulfillment of all of the following suspending conditions by the Execution Date:

SUSPENDING CONDITIONS. The Parties hereby agree and undertake that this Agreement shall not enter into effect before Suppliers shall provide ISR with the following documents to be annexed to the Agreement as Annex J: 5A1. Two (2) magnetic copies of the technical drawings of the TRL types (electric and solar) for each rail profile (60E1, 60E2 and 54E1 rails): 5A2. The Xxxxxxxxx XXX; 0X0. TRL Blow up drawings including manufacturer item number and prices; 5A4. AC and DC wiring diagrams (as defined in Annex A); 5A5. Installation and adjustment drawing of the TRL; 5A6. Adjustment tools drawings including manufacturer item number and prices; 5A7. Two (2) magnetic copies of the relevant technical descriptions of the TRL, and installation, maintenance (include an inspection and a method for fault diagnosis to check that the lubricator is not partially or fully blocked or misaligned and all components are securely installed to their mountings, maintenance intervals) adjustment tools and safety manuals.
SUSPENDING CONDITIONS. 4.1 This Agreement and the performance hereof are conditional upon the fulfillment of the following cumulative conditions, and in accordance with the foregoing it is understood that upon the fulfillment of the said conditions, this Agreement shall enter into effect commencing on the Record Date:
SUSPENDING CONDITIONS. The consummation of the Transaction on the Consummation Date (or on any Deferred Consummation Date, mutatis mutandis) is subject to the fulfillment of various suspending conditions (unless the party so entitled shall waive fulfillment), the principal ones being as follows: (a) the receipt of the following third-party consents: the Ministry of Communications (as required pursuant to the licenses under which Partner operates); the Antitrust Commissioner (if compulsory); the holders of the public notes; the Xxxxxxxxx Group; Mizrahi Tefahot Bank Ltd.;
SUSPENDING CONDITIONS. The Parties hereby agree and undertake that this Agreement shall not enter into effect before Parties shall agree on the specific Wagons to be supplied to ISR and sign Appendix K to this Agreement detailing such Wagons (hereinafter: the Suspending Condition). In order to fulfill the Suspending Condition IPM shall meet Supplier's representative in Repair Site at the time determined by ISR after consultation with Supplier in order to reach an agreement on the wagons that will be detailed in Appendix K. In the event that within 60 (sixty) days from Effective Date Appendix K will not be completed and signed by both parties this Agreement shall be null and void, unless such period is extended by ISR after consultation with Supplier.
SUSPENDING CONDITIONS. 15.1. Cumulative suspending conditions for performance of this Agreement are specified below, and the nonfulfillment of any of the aforementioned conditions within 180 days from the Date of the Signature, shall create a situation where this Agreement shall be deemed void, nonbinding and lacking validity, and no party shall be bound by it. And these are the conditions:
