Seller Indemnitees. “Seller Indemnitees” shall mean the following Persons: (a) the Seller; (b) the Seller’s current and future Affiliates, including the Parent; (c) the respective current and future Representatives of the Persons referred to in clauses “(a)“and “(b)” of this sentence; and (d) the respective successors and assigns of the Persons referred to in clauses “(a)”, “(b)” and “(c)” of this sentence.

Each of the Company and Buyer agree, on a joint and several basis, to indemnify and hold harmless Seller, ACC and their Affiliates, each of their respective directors, officers and employees, and each of their successors and assigns (“Seller Indemnitees”) from and against any and all Losses and Expenses incurred by each Seller Indemnitee in connection with or arising from any third-party claim based on: (i) any breach by the Company of its obligations set forth in this Agreement; (ii) the Company’s performance of, or failure or alleged failure to perform, Crypto Facilitation and/or NFT Facilitation; or (iii) any failure of the Company or its Affiliates to comply with any applicable Requirements of Law in their performance under or in connection with this Agreement.
