Preparation and Construction. All parties have contributed substantially and materially to the preparation of this Settlement Agreement and they shall not be construed more strictly against one party than another.
Preparation and Construction. Article 32 During the preparation and construction period of the JV Company, a preparation and construction office shall be established under the Board of Directors. With the approval of the Board of Directors, the JV Company may utilize SES’s resources and expertise to participate in the preparation and construction of the gasification plant.
Preparation and Construction. Article 29. During the preparation and construction of the Cooperative Venture, a preparation office shall be attached to the board of directors. Director and deputy director of the preparation office may be nominated by the general manager and be appointed by the board of directors. These positions also can be co-taken by the general manager and the deputy general manager.

In any construction to be made of this Agreement, the same shall not be construed against any Party on the ground that said Party drafted this Agreement. The Parties further agree that all provisions of this Agreement shall be construed as a whole, according to the fair meaning of the language used.
Preparation and Construction. Article 32. During the period of preparation and incorporation of the Joint Venture Company, a provisional office shall be established under the Board of Directors. The provisional office shall consist of three persons. Out of which two will be appointed by Party A and one from Party B. The provisional office shall have one Manager nominated by Party A and one Deputy Manager nominated by Party B. The Manager and Deputy Manager shall be appointed by the Board of Directors.
Preparation and Construction. 15.1 At its first meeting, the Board of Directors shall establish a management structure to supervise the construction of the Facility, and shall formulate a plan covering the various aspects of preparation for the commencement of operations of the Joint Venture Company. Such management structure shall be managed by the General Manager of the Joint Venture Company and shall consist of 3 persons, which may include persons seconded to the Joint Venture Company from the Parties or Interface for the preparation and construction of the Facility.
Preparation and Construction. Article 39 The JV Company shall appoint SES to be responsible for the construction of the Gasification System. The JV Company shall, as soon as reasonably practicable after the date of this Contract, enter into good faith negotiations with SES for the purpose of concluding the Project Management Contract. The JV Company will carry out Project preparation management through its internal departments. Chapter XIII

During the period of preparation and construction, the Joint Venture Company shall establish a Preparation and Construction Office under the direction of the Board of Directors. The Director and the Deputy Directors of the Construction Office shall be appointed by the Board of Directors.
