Operation and Maintenance of Infrastructure. During the term of this Agreement, the GOVERNMENT hereby grants the CONCESSIONAIRE the right to develop, use, operate and maintain the Railroad and the Xxxxxxxx Iron Ore Port, subject to the provisions of paragraph e below of this Agreement. The CONCESSIONAIRE shall invest in the rehabilitation, operation and maintenance of the Railroad and Xxxxxxxx Iron Ore Port and shall maintain all other Infrastructure within the Concession Area in good working order in accordance with standard industry practices during the term of this Agreement. The GOVERNMENT shall ensure that, within a time frame reasonably commensurate with the Operations, the Concession Area, as well as the assets and facilities transferred or otherwise made available to the CONCESSIONAIRE hereunder (including the Railroad and the Xxxxxxxx Iron Ore Port, which are not being transferred but are being made available), are free from any occupation and encumbrance, and available for the purpose of the Operations contemplated hereby.

Operation and Maintenance of Infrastructure. (a) The Borough shall operate and maintain all Infrastructure necessary to supply South River Water and Duhernal Water up to the Project boundary in a workmanlike manner, consistent with prudent practices and shall continuously maintain the Infrastructure in good operating condition and in compliance with all Governmental Approvals applicable to the Infrastructure. Such operation and maintenance shall be accomplished in a manner so as to minimize to the maximum extent practicable any disruption or interruption in the services to be provided under this Agreement.

Operation and Maintenance of Infrastructure. The District shall cause all Infrastructure to be operated and maintained in accordance with the Governing Regulations, except for water and wastewater infrastructure dedicated to the City pursuant to Section 6.07 and the Utility Agreement, which shall be operated and maintained by the City. Upon acceptance of Infrastructure dedicated to the City, the City will operate and maintain the Infrastructure. If repairs to District road facilities are needed as a result of repair or maintenance of water or wastewater Infrastructure by the City, the District shall perform or shall cause to be performed such repairs at no cost to the City.

  • Maintenance of Facilities 5.1 The Network Customer shall maintain its facilities necessary to reliably receive capacity and energy from the Host Transmission Owner’s transmission system consistent with Good Utility Practice. The Transmission Provider or Host Transmission Owner, as appropriate, may curtail service under this Operating Agreement to limit or prevent damage to generating or transmission facilities caused by the Network Customer’s failure to maintain its facilities in accordance with Good Utility Practice, and the Transmission Provider or Host Transmission Owner may seek as a result any appropriate relief from the Commission.

  • System Maintenance The Trust understands that USBFS will perform periodic maintenance to the System(s), which may cause temporary service interruptions. To the extent possible, USBFS shall notify the Trust of all planned outages and will perform any necessary maintenance during non-business hours.

No outside contractor is authorized to perform any services at the Apartment or apartment complex unless approved in writing by a representative of the Landlord. If Tenant contracts for any such services without written consent of the Landlord, Tenant shall be wholly responsible for the payment for any such service and shall hold the Landlord harmless against any claim made by a contractor who performs any such service at the request of the Tenant. Tenant shall also be responsible for returning the apartment back to its original condition, or else shall be liable to the Landlord for the costs incurred for the Landlord to do so after Tenant vacates.

  • Support and Maintenance Where Licensee purchases support and/or maintenance services, Licensee’s initial support and/or maintenance term will begin upon delivery to Licensee of the Licensed Software and continue for one (1) year thereafter (or the length of the term if less than a year for any subscription/term license) unless otherwise specified in the applicable annual support and/or maintenance agreement, Product Order, or other written agreement executed between Licensor and Licensee. Where Licensee purchases support and/or maintenance for any Licensed Software, Licensee hereby agrees that it shall purchase such support and/or maintenance services for all of Licensee’s licensed units of such Licensed Software product. Support and/or maintenance services provided by Licensor will be subject to Licensor’s then current applicable standard annual support and/or maintenance agreement unless otherwise agreed by the parties in writing.

  • Repairs; Maintenance The Owner hereby gives power to the Agent to supervise repairs, improvements, alterations, and decorations to the Property as well as purchase and pay bills for services and supplies. The Agent shall obtain prior approval of the Owner for all expenditures over $ for any single item. Prior approval for lesser amounts shall not be required for monthly or recurring operating charges or if emergency expenditures over the maximum are, in the Agent’s opinion, needed to protect the Property from damage, prevent injury to persons, avoid suspension of necessary services, avoid penalties or fines, or suspension of services to tenants required by a lease or rental agreement or by law, including, but not limited to, maintaining the Property in a condition fit for human habitation as required by applicable law.
